PLEASE READ THESE TERMS OF USE (THE "TERMS") CAREFULLY. BY ACCESSING OR USING THIS WEBSITE OR ANY OTHER WEBSITES AND/OR DIGITAL PROPERTIES OF TRENDIN RHODA, INC. (THE "COMPANY"), ITS AFFILIATES OR AGENTS (COLLECTIVELY, THE "DIGITAL PROPERTIES") IN ANY WAY, INCLUDING USING THE SERVICES AND RESOURCES AVAILABLE OR ENABLED VIA THE DIGITAL PROPERTIES (EACH A "SERVICE" AND COLLECTIVELY, THE "SERVICES"), CLICKING ON THE "I ACCEPT" BUTTON, COMPLETING THE REGISTRATION PROCESS, AND/OR BROWSING THE DIGITAL PROPERTIES OR DOWNLOADING COMPANY'S MOBILE APPLICATION (THE "APPLICATION"), YOU REPRESENT THAT (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH COMPANY, AND (3) YOU HAVE THE AUTHORITY TO ENTER INTO THESE TERMS PERSONALLY. THE TERM "YOU" REFERS TO THE INDIVIDUAL OR LEGAL ENTITY, AS APPLICABLE, IDENTIFIED AS THE USER OF ANY SERVICE. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICES.
THESE TERMS INCLUDE A CLASS ACTION WAIVER AND A WAIVER OF JURY TRIALS, AND REQUIRE BINDING ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES.
THESE TERMS OF USE LIMIT THE REMEDIES THAT MAY BE AVAILABLE TO YOU IN THE EVENT OF A DISPUTE.
1. Services Description
The Services consist of the following, without limitation: a free mobile application for iOS and Android that provides access to tickets for live events for certain cities throughout the country and across the world.
2. Application License
Subject to your compliance with these Terms, Company grants you a limited non-exclusive, non-transferable, non-sublicensable, revocable license to download, install and use a copy of the Application on a single mobile device or computer that you own or control and to run such copy of the Application solely for your own personal or internal business purposes.
3. Registration and Account
- You may be required to register an account to access certain features of the Services.
- You agree to provide true, accurate, current and complete information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must be at least thirteen (13) years old to create an account.
4. Ticket Purchases and Services
- Company sells tickets on behalf of event providers or third parties in certain instances.
- Company does not set ticket prices or determine seating locations.
- All ticket purchases are subject to availability and event organizer terms.
- Company guarantees that tickets purchased through the Services will provide valid entry to the described event.
5. Refunds and Cancellations
- Tickets are generally not refundable or exchangeable unless specified during purchase.
- If an event is cancelled and not rescheduled, Company will facilitate a return of the full purchase price.
- Company is not responsible for changes in event dates or times.
- No refunds will be issued for lost, stolen, damaged or destroyed tickets.
6. User Conduct
In connection with your use of the Services, you shall not:
- Impersonate any person or entity or misrepresent your affiliation.
- Violate any applicable local, state, national or international law or regulation.
- Register for more than one account or register on behalf of another individual.
- Use the Services for any unlawful or unauthorized purpose.
7. Intellectual Property
- All content, trademarks, and intellectual property on the Services are owned by Company or its licensors.
- You may not copy, reproduce, distribute, or create derivative works without permission.
- Downloading, distributing, or sharing ticketed video content is strictly prohibited.
8. Third-Party Services
The Services may contain links to third-party services, applications, and advertisements. Company is not responsible for any third-party content or services. Your use of third-party services is at your own risk.
9. Disclaimers
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK, AND THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. COMPANY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
10. Limitation of Liability
IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SERVICES. UNDER NO CIRCUMSTANCES WILL COMPANY BE LIABLE TO YOU FOR MORE THAN FIFTY DOLLARS ($50).
11. Indemnification
You agree to indemnify, defend and hold harmless Company, its parents, subsidiaries, affiliates, officers, employees, agents, partners, providers, suppliers, advertisers, sponsors, and licensors from and against any losses, costs, liabilities and expenses relating to or arising out of your use of the Services or violation of these Terms.
12. Arbitration Agreement
Any disputes arising out of or related to these Terms or the Services will be resolved by binding arbitration on an individual basis, rather than in court. You and Company agree to waive any right to a jury trial or to participate in a class action lawsuit.
13. Termination
Company may terminate your account and access to the Services at any time, with or without cause. Upon termination, your right to use the Services will cease immediately.
14. Changes to Terms
These Terms are subject to change by Company in its sole discretion at any time. Your continued use of the Services after changes are posted constitutes your acceptance of such changes.
15. Governing Law
These Terms and any action related hereto will be governed and interpreted by and under the laws of the State of New York, consistent with the Federal Arbitration Act, without giving effect to any principles that provide for the application of the law of another jurisdiction.
